Terms of Service

1. The Service

ApoClock is a timezone coordination tool for online gaming alliances. It allows alliance leaders to manage members across timezones, schedule events, and coordinate via Discord. The Service is provided free of charge.

2. Eligibility

• You must be at least 13 years old (or 16 in the EU/UK) to use the Service.
• If you are under 18, you confirm you have permission from a parent or guardian.
• You must provide accurate information when creating an account.

3. Your Account

• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately at office@oioilab.ai if you suspect unauthorised access.
• You may not share your account with others or transfer it.
• One person may maintain multiple workspaces but may not create accounts on behalf of others without their consent.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload or transmit harmful, abusive, threatening, or offensive content
• Impersonate any person or entity
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Scrape, crawl, or extract data from the Service by automated means
• Reverse engineer, decompile, or otherwise attempt to extract source code
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited communications (spam)

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Your Content

You retain ownership of any content you enter into the Service (member names, event details, workspace data). By using the Service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service to you.

You are responsible for ensuring that any content you enter does not infringe third-party rights.

6. Discord Integration

ApoClock integrates with Discord's API. By enabling Discord features, you agree to comply with Discord's Terms of Service and Discord's Developer Policy. We are not affiliated with or endorsed by Discord Inc.

7. Service Availability

We aim to keep ApoClock available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will not be liable for any loss caused by downtime.

8. Intellectual Property

The ApoClock name, logo, design, and underlying code are the property of OIOI Lab. The source code is licensed under the MIT Licence — see the repository for details. Nothing in these Terms transfers intellectual property rights to you beyond what the MIT Licence expressly grants.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OIOI LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, GOODWILL, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (WHICH MAY BE ZERO, AS THE SERVICE IS FREE) OR (B) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless OIOI Lab and its team members from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate your use of the Service at any time. You may delete your account at any time via Settings → Account → Delete Account. We may suspend or terminate your account for violation of these Terms. Upon termination, your data will be deleted within 30 days per our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes shall be subject to binding arbitration or the courts of the jurisdiction where OIOI Lab is registered, at our election.
